Overview

Marcin has over 20 years’ experience of advising international financial institutions, private equity funds and the largest Polish corporates on Polish and cross-border M&A transactions, including M&A work, private equity transactions, restructuring (including sale of distressed assets) and pre-sale restructurings.

 

Marcin also co-leads the firm’s Financial Regulation Group, which advises investment funds, financial, credit and insurance institutions, as well as listed companies, on regulatory matters under Polish and European law.

 

Marcin, in collaboration with Janusz Dzianachowski, is also National Managing Partner of the firm’s Warsaw office.


Work highlights

Marcin has led on many major transactions. These include advising:

  • Orange Polska, one of the largest Polish telecommunications service providers on the establishment of a 50:50 joint venture with the APG fund valued at €605m, to build a fiber-optic network in Poland
  • Nexi, the leading PayTech company in Italy, listed on MTA of Borsa Italiana, on Polish law aspects of all-share merger with Nets, the Nordic payment services provider, a transaction valued at €7.8bn
  • Polski Fundusz Rozwoju S.A. with respect to the implementation of the “Financial Shield”, the government financial support programme aimed at reducing the economic impact of the COVID-19 pandemic
  • ING Bank Śląski, a Polish subsidiary of ING Group, on its acquisition of 45% of shares in NN Investment Partners TFI (Polish asset management company) from NN Investment Partners International Holdings
  • PESA Group, the largest Polish rolling stock manufacturer, on all aspects of the restructuring of its existing financing and divestment to the Polish Development Fund (PFR)
  • Chariot Top Group, a company co-managed by Griffin Real Estate, on the €1bn acquisition of a portfolio of 28 retail assets, including nine shopping centres in Poland, and subsequent resale of part of the portfolio

Professional experience

Marcin previously regularly wrote a legal column for Poland’s principal newspapers. He regularly contributes to industry conferences on M&A and the regulatory environment.

 

He mentors students at the Warsaw School of Economics and the Warsaw University.

Education and qualifications

Marcin studied law at the University of Poznań, the European University Viadrina, Frankfurt, and the University of Abo, Finland.

 

He speaks English, Polish and German.
