Linklaters advises Proximus Group in the creation of Proximus Global

We have advised Proximus Group on the strategic reorganization of its international operations, leading to the creation of Proximus Global. This significant transaction merges entails that BICS, Telesign, and Route Mobile into are placed under a single entity, enhancing Proximus' global leadership in digital communications.

The integration, valued at approximately €3.1 billion in equity, aims to streamline Proximus' organizational structure, improve governance, and boost operational efficiency. It involves the contribution of 100% of BICS shares to Proximus Opal, which will now be called Proximus Global. Consequently, Proximus’ shareholding in Proximus Global increases from 87.3% to 91.3%.

Proximus Global will operate under a simplified leadership structure with Guillaume Boutin as CEO, focusing on harnessing synergies across its components to enhance decision-making and governance. The reorganization aligns with Proximus's goals of driving international growth, boosting its International Direct Margin, and achieving significant EBITDA synergies by 2026.

This move advances Proximus' strategy to expand its global reach and capabilities, leveraging BICS’s connectivity, Telesign’s digital identity leadership, and Route Mobile’s customer engagement channels to offer comprehensive digital communication solutions. The streamlined operational model aims to facilitate up- and cross-selling, foster innovation, and optimise scale benefits, positioning Proximus Global as a leading service provider worldwide.
