Overview
Melissa has experience representing both sell-side and buy-side market participants in a variety of derivatives transactions (OTC and cleared) and structured products involving derivatives. She has significant experience advising various entities on a range of legislative and regulatory requirements, including Title VII of the Dodd-Frank Act, and negotiating and drafting trading and financing documentation in connection with derivatives transactions, including ISDA Master Agreements and related confirmations, account control agreements, bilateral protocol agreements and other related derivatives and securitization documentation. Melissa also has experience representing clients in structuring standard and bespoke commodity transactions, including buy/sells, financings, and intermediations, as well as drafting and negotiating all relevant transactional documentation, including MSPAs, marketing agreements, trade confirmations, and intermediation agreements.
Work highlights
Recent transactions include representation of:
- multiple hedge providers on interest rate and FX hedging transactions under a defaulted secured loan facility transitioning to a DIP facility upon borrower’s filing, together with related derivatives and restructuring documentation
- a hedge fund on a total return swap structure referencing a pool of non-U.S. governmental legal claims
- equity funds in connection with a synthetic risk transfer trade in the form of unsecured credit linked notes referencing a replenishable portfolio of secured and unsecured corporate credit facilities
- a global bank in connection with a total return swap facility referencing mortgage loans
