Overview

Nick Atwood, a counsel in the Energy & Infrastructure practice, has extensive experience advising private equity sponsors, strategic investors, commercial lenders, ECAs and other project participants on the development, financing, acquisition and sale of conventional power and renewable energy assets, both domestically and internationally.

Nick has practiced in both the U.S. and Asia and is fluent in Mandarin.

Work highlights: 
  • Advanced Power US Holdings Inc.: advising on a $100 million senior secured revolving letter of credit and loan facility, including a $25 million sublimit for revolving loans and a $25 million sublimit for equipment loans. This supports a portfolio of solar, battery storage, and natural gas-fired power generating facilities in the United States, currently operating, under construction, and in development, totaling approximately 8,000 MW.
  • South Field Energy LLC: advised the borrower on a senior secured Term Loan B facility. The proceeds were used to refinance existing indebtedness for constructing the approximately 1,182 MW combined-cycle generating facility in Columbiana County, Ohio, owned by the company.
  • Sixth Street Partners, Tor Investment Management, and Corbin Capital: advising on mezzanine financing for the $1.3 billion Trumbull natural gas-fired electric combined-cycle power plant in Ohio (IJ Global’s North American Power Deal of the Year).
  • Osaka Gas and its subsidiaries: advising on partial refinancing and restructuring of existing project-level debt and additional mezzanine debt totaling approximately US$370 million for a combined-cycle gas-fired power plant.
  • Elia Group SA/NV: advising on its acquisition, through Elia Group's wholly-owned subsidiary WindGrid USA LLC, of a 35.1% stake in energyRe Giga Projects, a subsidiary of energyRe LLC. The proceeds will be used to fund renewable U.S. transmission and energy generation projects.
  • Strategic Investor: advising in connection with a US$400 million pre-NTP facility for development-stage projects, with a borrowing base comprised of various asset categories such as onshore generation, transmission assets, uncalled equity capital, etc. Advance rates vary according to asset development stage and risk profile.
  • Syrah Resources Limited: represented a natural graphite and battery anode company on its proposed DFC financing for the Balama graphite mine in Mozambique. The offtake will be processed in South Carolina and sold to a North American car manufacturer for use in electric vehicle batteries.
  • Strategic Investor: advising on the proposed sale of three separate natural gas facilities located in the United States.
  • BNP Paribas / SACE: advising SACE and a group of international banks led by BNP Paribas in connection with a €300 million SACE-guaranteed green loan for Raizen Energia SA, the third largest Brazilian energy company by revenue and the fifth largest in Brazil (TXF Energy Export Finance Deal of the Year).
  • Project Sponsor: advising in connection with a proposed warehouse facility for a ring-fenced portfolio of solar and energy storage facilities in the United States.
  • Leading Developer: advising on a proposed build transfer agreement (BTA) with a public utility for a renewable energy asset.
  • Export-Import Bank of Korea (KEXIM) and Banco Santander: advising on a US$100 million Credit Agreement for Sociedad Quimica y Mineral De Chile S.A., one of the largest producers of lithium carbonate in the world.
  • Various Bidders: advising on the acquisition of offshore wind assets in the United States.
  • Project Sponsor: advising in connection with the financing of a solar power generation facility in Texas.
  • Citi Energy: advising on commodities intermediation financing involving a renewable diesel asset.
  • International Finance Corporation (IFC): advising in connection with the restructuring of IFC loans to Molino Cañuelas S.A.C.I.F.I.A., the largest Argentine producer and exporter of wheat flour in the world.
