Linklaters advises C2 Energy on the sale of its distributed generation solar platform to EDPR
Linklaters was lead deal counsel to C2 Energy Capital LLC and its principals on the sale of an 85% stake in its distributed solar platform, C2 Omega LLC, to EDP Renewables North America LLC (EDPR NA).
C2 Omega's solar portfolio includes 89 MW of operating and imminent completion capacity and a near-term pipeline of about 120 MW across approximately 200 sites in 16 U.S. states.
C2 Omega will be renamed EDPR NA Distributed Generation LLC (EDPR NA DG) and will be the exclusive provider of small-scale downstream generation and energy efficiency services in the U.S. for EDPR NA.
The principals of C2 will retain a minority interest and continue to be engaged in the day-to-day operations of the business.
The Linklaters team was led by partners Peter Cohen-Millstein and Andrew Compton and counsel Megan Ridley-Kaye, with assistance from associates Will Kim, April Kent, Lizzeth Merchan, and Andy Reynolds. Norton Rose Fulbright was co-counsel and advised C2 on tax, regulatory, employment and security-related matters.
Linklaters has acted as C2’s primary project financing counsel since 2017, with partner Margot Schonholtz being a key strategic advisor to C2 since its founding in 2014.
