Overview
Ann-Marie regularly advises global banks, financial institutions and large-scale companies on international capital markets law relating to (structured) capital markets products and structured finance with a focus on cleared and non-cleared derivatives (FX, IRS, credit and equity derivatives) as well as advising on the negotiation and structuring of ISDA and German-law master agreements for financial derivatives transactions and clearing framework agreements. She covers the following regulatory topics related to structured capital market products and structured finance: EMIR, CRR, CSD-R, MiFID II/MiFIR, MiCAR as well as DLT-Pilot Regime.
Furthermore, she has experience in the area of DLT-based capital markets products such as crypto securities, crypto custody, digital registered bonds as well as smart contracts.

- American multinational financial services company: Advising on the applicability of EMIR to certain bonds transactions with extended settlement periods.
- British consulting, transformation and digital services business: Advising on financing and fund-raising through bearer notes as well as refinancing.
- British multinational universal bank and financial services holding company:
Advising on intra-group restructuring measures and, in particular, the impact of restructuring on collateral in the context of financing projects and structures;
Advising on the restructuring of the framework agreements for financial derivatives transactions. - German central savings bank:
Advising on forwards on registered bonds and promissory note loans;
Advising on regulatory questions and the transfer of German law registered bonds using distributed ledger technology;
Advising on issuance, technical and contractual set-up of German digital registered bonds.
Professional experience
Ann-Marie has joined Linklaters as an associate in 2022.
She has already spent over a year as a research associate at Linklaters in the area of capital markets law and gained practical experience at various large corporate law firms.
She is a member of the Frankfurt Bar Association.
Education and qualifications
Ann-Marie studied German law at the University of Heidelberg. She is admitted as a German lawyer. She completed her legal traineeship at the Heidelberg Regional Court and in Stockholm, Sweden.
Ann-Marie has already worked as a research assistant at Linklaters and completed her legal traineeship in the area of capital markets law.
She speaks German, English and Spanish.
