Overview
Reuven advises corporate, private equity and sovereign clients on the U.S. tax aspects of investments, restructurings and secondary market transactions. In addition, he represents public and private equity companies in matters relating to mergers and acquisitions and capital markets.
Work highlights
- QIC: advising on the establishment of QIC Infrastructure Debt Fund II, which is seeking to raise total commitments of US$1bn.
- Ad hoc group of lenders: advising on a US$550m debt for equity exchange.
- Barings BDC: advising on its US$176m merger with MVC Capital, Inc.
- Hg Capital: advising on the acquisition by its portfolio company, Ideagen, of ProcessMAP, a software platform providing environmental, health and safety business analytics.
- Canadian governmental pension funds: advising several of the largest Canadian governmental pension funds on private equity and other investments.
- Sovereign wealth funds: advising Middle Eastern, Asian and Australian sovereign wealth funds on their investments into European, Asian and U.S. focused private equity and venture capital funds.
- A private equity investment fund: advising on U.S. tax issues in connection with the restructuring of several of its portfolio vehicles.
- Bioceres Crop Solutions Corp. (Nasdaq: BIOX): advising on a: (i) US$55.0 million Secured Convertible Guaranteed Note due 2026 and (ii) US$24,025,718.00 Secured Guaranteed Note due 2026.
