Overview

Yaroslav is a U.S. corporate finance partner based in our London office, with expertise in advising corporates and investment banks on complex financings, including investment grade, emerging markets and high yield 144A debt issuances, equity raisings, private placements and U.S. investor-facing liability management transactions. He also advises investor funds and corporate clients on capital markets aspects of financial restructurings and other special situations.

Work highlights

Yaroslav has advised issuers and corporates across the credit spectrum and in a range of geographies in a number of notable capital markets transactions and restructurings, including:

  • Rönesans Holding: advising the issuer on its debut $350 million offering of sustainable bonds
  • Vestel Elektronik: advising the lead managers on the issuance of $450 million senior notes due 2029
  • TAV Airports Holding (TAV Havalimanları Holding): advising the issuer on its debut US$400m 8.500% senior guaranteed notes due 2028
  • Ukrenergo: advising the lead managers on the issuance of $825 million senior notes due 2026 (first sustainability-linked and green bond issued by a Ukrainian corporate)
  • Assemblin: advising the issuer on its €250 million senior secured floating-rate high-yield bond offering
  • Vodafone Ukraine: advising the lead managers on the issuance of $500 senior notes due 2025 (CEE Legal Matter Ukrainian deal of the year)
  • Interpipe: advising the borrower on the restructuring of its debt facilities and the issuance of $309 million bonds due 2024 and performance securities to existing creditors and the subsequent issuance $300 million bonds due 2026
  • DTEK Renewables: advising the lead managers on the issuance of €325 million green bonds issuance by (first green bond from a Ukrainian issuer)
  • Metinvest advising the lead managers in US$1.6 billion dual-tranche post-restructuring financing and concurrent tender offer and consent solicitation (IFR Emerging EMEA Bond Deal of the Year) and the issuer in a number of subsequent issuances and liability management transactions
  • Reckitt Benckiser: advising the issuer on its $5.95 billion multi-tranche bond offering in connection with the acquisition of Mead Johnson

 

Professional experience

Prior to joining Linklaters, Yaroslav worked at Debevoise & Plimpton LLP (New York), including a secondment to Mitsui & Co. in Tokyo.

Yaroslav studied economics and philosophy at Vanderbilt University, graduating summa cum laude with high honors in economics. He received a J.D. in 2007 from New York University, cum laude, and was named Allen Scholar.
