Overview

Joakim-Antoine joined Linklaters in 2011. He has been promoted to full -Equity Partner in 2021. He is the Head of the Tax practice in Luxembourg. He is a member of the Luxembourg bar.

Prior to joining Linklaters Luxembourg, Joakim-Antoine worked as an associate at another tax dedicated law firm in Luxembourg for nearly four years.
 
He specialises in tax consulting and international tax planning. His main area of activity is private equity, where he mainly deals with mergers and acquisitions, restructurings, and joint ventures. He is also very active in transfer pricing issues and in the structuring of complex financial products. In addition to his fluency in English, his Spanish speaking skills and understanding of the Italian language make him a privileged person to go to for deals involving Southern Europe.

Work highlights 
  • Lecta: advising on a €355m refinancing package to strengthen its balance sheet and raise capital for transitioning to "Specialty" papers. The Luxembourg Tax team led the tax restructuring for the new structure.
  • CACEIS: advising on the €1.8 billion acquisition of RBC Investors Services Bank S.A. The Luxembourg Tax team ensured the cross-border transactions had no adverse tax consequences.
  • Triton Partners: advising on the sale of the portfolio companies Assemblin, EQOS Energie, Flokk and Unica by Triton Fund IV to a continuation vehicle, Triton IV Continuation Fund.
  • Ares Management Corporation: advising on structuring a new investment platform for Ares Fund VI (€1bn+) acquisitions in Spain and co-investment schemes. A distinctive Luxembourg-Spanish SOCIMI structure was implemented.
  • Ardian: advising on the $575m acquisition of Verne from Digital 9 Infrastructure plc. The Linklaters Luxembourg Tax team designed and set up a Luxembourg investment structure and advised on financing and syndication.
  • Cerberus: advising on the £400 million Vantage 3 RMBS. The Linklaters Tax team established Cerberus' Luxembourg RMBS origination platform, ensuring compliance with EU, UK, and US retention rules.
  • Stoneshield Capital: advising on the €300m transfer of its Spanish real estate portfolio via share and forward purchase agreements, and leases to MiCampus Living. The Luxembourg Tax team devised a customised Luxembourg structure for the acquisition of seed and future core-plus assets.
  • A leading real estate investment fund manager: advising on the launch of an open-ended pan-European logistics real estate fund domiciled in Luxembourg, as well as advising on and structuring more than 15 logistic asset acquisitions made by the fund across Europe. 
  • A mid-market value-add infrastructure manager: advising on the establishment and first closing of a fund investing in decarbonized, connected, and sustainable infrastructure assets, as well as the establishment of management entities in Italy and the U.K. The Luxembourg Tax team designed the structure of the fund.
  • A leading private equity firm: advising on the acquisition of a leading provider of fire, flame, and gas detection systems. The Luxembourg Tax team led the acquisition structuring, addressing Swedish tax constraints from a Luxembourg perspective, and managed the setup of managers' investment programmes and external financing.

Professional Experience

Alongside his client work, Joakim regularly participates to industry meetings on subjects like ATAD in particular within the Luxembourg Capital Market Association (LuxCMA). He has also been analysing and summarising case law for Kluwer for more than 10 years, on a monthly basis.

Education and qualifications

Joakim-Antoine holds a Master’s degree in business and tax law as well as a postgraduate degree in tax law, both from the University of Paris 1 Panthéon-Sorbonne. He further graduated from the international branch of the INSEEC Business School in Paris and from the Wallace E. Carroll Graduate School of Management of Boston College, USA.
