Overview

Shruti specializes in providing comprehensive counsel on transactions involving intellectual property and technology across a wide range of industries, including technology, life sciences and biotech, emerging technologies, media and entertainment, automotive, retail and consumer goods, chemicals and manufacturing. 

With a focus on serving public and private companies, private equity funds, and high-growth startups, Shruti’s practice encompasses leading the intellectual property and technology aspects of mergers, acquisitions, divestitures, venture investments, and financing transactions. She also advises on the development, licensing, transfer and commercialization of intellectual property, technology, and data assets, as well as on emerging technologies such as artificial intelligence. Shruti has advised on the intellectual property and technology aspects of many high-profile corporate transactions.

Experience highlights*:
  • Volkswagen: advising on a US$5.8bn investment and electric vehicle technology joint venture with EV manufacturer Rivian, including IP licensing arrangements, software development arrangements and cross-licenses.
  • Rio Tinto: advising on its pending US$6.7bn acquisition of Arcadium Lithium.
  • Dow: advising on its partnership transaction with Macquarie Asset Management to launch US$6bn Diamond Infrastructure Solutions
  • Aperam S.A.: advising the global leader in stainless and specialty steel solutions on its agreed acquisition of Universal Stainless & Alloy Products, Inc. (NASDAQ: USAP) in an all-cash transaction. 
  • Tate & Lyle PLC: advising on the proposed acquisition of CP Kelco, a leading provider of pectin, speciality gums and other nature-based ingredients, from J.M. Huber Corporation for US$1.8bn.
  • Carroll Street Capital: advising the New York-based investment firm on structuring and executing a transaction that formalized a partnership to create BRESH Global – an entertainment company deeply rooted in Latin culture. 
  • Carrier Global Corporation*: advising on the sale of its security business, Global Access Solutions, to Honeywell and sale of its Industrial Fire business to Sentinel Capital Partners.
  • Merck & Co., Inc.*: advising on the acquisition of Prometheus Biosciences.
  • Qualcomm, Inc.*: advising on the acquisition of Veoneer, Inc., including long-term services and licensing arrangements relating various automotive technologies
  • Apollo Global Management*: advising on the acquisition of the Terminals, Solutions & Services business line from Worldline
  • Apollo Global Management*: advising on the acquisition of incumbent local exchange carrier assets and associated operations in 20 states from Lumen Technologies.

Professional experience

In 2024, Shruti was appointed as the Vice-Chair for the Business and Trade Division of the American Bar Association’s Intellectual Property Law Section, which oversees the IP Transactions and Licensing Committee, In-House IP Committee, China IP Issues Committee and Monetization and Valuation of IP Committee, among others. She was also reappointed to the CLE Board for the Intellectual Property Law Section and serves as Chair of the ABA Intellectual Property Law (IPL) Section’s Young Lawyer Fellows Selection Committee. 

Shruti also serves as a member of the Board of Trustees of the Foundation for Advancement of Diversity in Intellectual Property Law, which aims to increase diversity in the legal profession.

Before joining Linklaters, Shruti worked in the Intellectual Property & Technology Transactions practice in the New York offices of another leading international law firm. 

Shruti also maintains an active pro-bono practice providing transactional legal services to low-income entrepreneurs and start-ups.

Shruti was part of the 2022 Leadership Council on Legal Diversity (LCLD) Fellows program, which is designed for high-potential, mid-career attorneys from LCLD Member organizations. She is also a member of the South Asian Bar Association of New York, the Asian American Bar Association of New York and the New York Intellectual Property Law Association.

Education and qualifications

Shruti holds a B.L.S. and LL.B. from the University of Mumbai, and a LL.M. from the University of California, Berkeley School of Law.
