Overview

Bárbara is a counsel in the financial regulation practice of Linklaters in Madrid.

She has extensive experience drafting and negotiating OTC derivatives, as well as advising on financial regulations. Notable is her experience advising investment and private equity firms (including drafting the necessary documents for forming these types of funds and their managers and advising on cross-border operations and marketing by foreign institutions in Spain), as well as investment firms and banks.

She is also highly experienced in advising on FIG M&A deals and market abuse and money laundering regulations.

Work highlights

Barbara’s prior experience includes:

  • Advising Banco Santander and Forgepoint Capital on the set-up of an investment fund and investment advisor to invest in cybersecurity.
  • Advising ProA Capital on its incorporation and authorisation as management company and on the set-up and fundraising process of all its five private equity funds.
  • Advising Q-Energy Private Equity SGEIC SA - Q-Energy Debt Fund in relation to the incorporation of their first debt fund.
  • Advising Permira on the Due diligence and regulatory filings for the acquisition of an indirect significant shareholding in Altamar’s investment firm and investment management companies.
  • Advising Credit Suisse on Spanish regulatory issues in the context of the reorganisation of Credit Suisse’s group post Brexit.
  • Advising Banco Santander on the incorporation of a series of joint ventures financial companies with Banque PSA Finance and, afterwards, on the reorganization of said joint ventures.
  • Advising Morgan Stanley in the context of the reorganisation of MS´s group (including the merger of the Spanish investment firm and the incorporation of three branches in Spain).
  • Advising Bestinver in the context of the acquisition of a Spanish group of companies, including Fidentiis Gestión, SGIIC, S.A. and Fidentiis Equities, S.V., S.A., and assisting with the applications before the Spanish regulator (CNMV) to obtain its non-opposition to such acquisition.
  • Advising Plenium Partners/Bankinter in the set-up and authorisation of a new management company and their first venture capital fund (the first one targeting retail clients in Spain), Helia Renovables.
  • Advising BNP Paribas on the drafting and negotiation of various total return swaps over shares of several Spanish listed companies.
  • Advising Several clients (including, among others, Banco Santander, Iberdrola, Fortia Energía Servicios and Atlantic Copper) on (i) the categorisation of certain contracts as financial instruments under Spanish legislation, and (ii) Spanish regulatory issues which could arise due to the negotiation and execution of commodity derivative agreements (including electricity, gas and others) and the consequences of those being physically or cash settled.

Education and qualifications

Bárbara González is a highly educated professional with dual degrees in Business Administration and Law from Universidad Pontificia Comillas ICAI-ICADE, completed between 2002 and 2008. She also participated in an exchange program at NEOMA Business School in 2007, enhancing her business expertise.
