Overview

Max advises corporate, private equity and investment fund clients on strategies for a variety of domestic and international transactions involving cross-border financings and investments, mergers and acquisitions and corporate joint ventures. He has advised U.S. and non-U.S. private equity funds on a wide range of strategies, including structuring tax-efficient lending, distressed debt, structured credit, real estate, infrastructure and renewable energy investments. Max also has experience in the taxation of partners and partnerships, public and private REITs, domestic and offshore companies, individuals, and sovereign wealth fund and tax-exempt investors.
 
Work highlights
  • KKR: advising in connection with the successful closing of the firm’s flagship North America private equity fund as well as global infrastructure, lending, special situations, and European-focused funds.
  • SoftBank Group Corp.: advising on the establishment and fundraising of its US$100bn SoftBank Vision Fund, a private fund for making investments in the technology sector globally – the largest private fund ever established.
  • Leading global asset manager: advising on the establishment of its private alternative investment funds organized to invest in Asian and European real estate and real estate-related assets.
  • Leading global asset manager: developing infrastructure, private equity and loan origination platforms for a global asset manager that has to date raised in excess of US$12bn.
  • Sovereign Canadian pension plan: advising the pension plan on a seed investment in an alternative fund manager spin-out.
  • Leading private equity fund sponsor: acting on behalf of the private equity fund sponsor to negotiate over US$10bn of co-investments.
 

Education and qualifications

Max holds a Juris Doctor (cum laude) and an LL.M. in Taxation (with distinction) from the Georgetown University Law Center, where he was a member of the law journal, The Tax Lawyer. Max obtained his undergraduate degree (with honors) from Brown University. 

Max is a member of the New York Bar.
