Overview

Alberto has broad experience in equity and equity-linked offerings (IPOs, ABOs, RIs and block trades and convertible and exchangeable bond offers), regulatory capital and hybrid corporate bonds and other debt issues (stand-alone, EMTN and HY bond issues) and liability management transactions, acting both for financial institutions and corporates, having participated in SEC-registered, 144A and Reg S only transactions.

He also has also extensive experience in banking transactions, such as corporate financings and restructurings, as well as in M&A and general corporate matters, including corporate governance.

In addition to the above, Alberto has deep experience and interest in Latin America, being a member of the LatAm team leading the expansion of the firm’s business in the region. He worked for a year in the Linklaters New York office, supporting this practice.

Work highlights

Capital Markets

  • Equity: advising on, among others, (i) the IPOs of Grupo Ecoener, Cellnex, Applus+, Lar España Real Estate SOCIMI and Axiare Patrimonio SOCIMI; (ii) the rights issues/capital raisings of Banco Santander, Lar España Real Estate SOCIMI, OHL, Ezentis, Axiare Patrimonio SOCIMI, Banco Popular and Banco de Sabadell, (iii) ABOs of Applus+, Colonial, Banco Santander, BBVA and Banco de Sabadell; and (iii) the block trades of CaixaBank, Axiare Patrimonio SOCIMI, MásMóvil and Merlin Properties shares.
  • Debt: advising on, among others, (i) the EMTNs and drawdowns of Merlin Properties SOCIMI, Naturgy, Iberdrola, Abertis and Repsol; (ii) stand-alone issues of investment grades as Ferrovial, FCC Servicios Medio Ambiente and SIX Group and HY issues as Abengoa, OHL and el Corte Inglés; and (iii) project bonds issued by renewable energy groups as Grupo Ecoener and Ibereólica; and (iv) several liability management transactions.
  • Equity-linked, corporate hybrids and regulatory capital: advising on, among others (i) convertible and exchangeable bonds of Indra, Iberdrola, Abengoa, Telefónica and NH Hoteles; (ii) corporate hybrids of Telefónica, Iberdrola, Naturgy, Abertis and Ferrovial; and (iii) regulatory capital instruments of Banco Santander (including several takedowns under its Sec-Registered SHELF Program), CaixaBank and BBVA.

Banking transactions

  • Financings: advising on, among others, (i) a syndicate of banks on the USD460m financing to Enagás USA guaranteed by Enagás; (ii) a syndicate of banks on the up to US$290m financing to Hokchi Energy, guaranteed by Pan American Energy; (iii) Blue Marine, an offshore oil and gas producer in Mexico, in relation to (I) a USD50m bridge financing from GIP, (II) the project financing from BancoMext, and (III) the tax lease structure in Spain, for the construction of a floating, production, storage and offloading unit (FPSO) to be deployed in Mexico and chartered to PEMEX; as well as (iv) a syndicate of banks on the US$75m financing to YPF Energía Eléctrica.
  • Restructurings: advising on, among others (i) Abengoa on its more than €10bn debt restructuring; (ii) Prisa on several restructurings of its financial debt; (iii) FCC on the restructuring of its financial debt; and (iv) the bondholders on the court supervised €2.2bn debt restructuring of Grupo Isolux Corsan.

Corporate and M&A

  • Advising Inypsa Informes y Proyectos (as absorbing company), a Spanish company listed in the Spanish Stock Exchange, on its merger by absorption with Carbures Europe (as absorbed company), a Spanish company listed in the Spanish Alternative Stock Market (Mercado Alternativo Bursátil – MAB).
  • Advising Repsol on the USD 6.653m agreement on the transfer of assets and operations related to its downstream and midstream LNG business in Trinidad & Tobago, Peru and Spain.
  • Advising White River Renewables, the company created by White Summit Capital España and Riverstone, on the acquisition of JinkoSolar Mexico from Jinko Solar.
  • Advising an international listed company on the attempted acquisition of a port operator in Mexico.
  • Advising a Spanish financial entity on the attempted disposal of a stake in an industrial company.

Professional experience

Alberto is currently Mentor of the association Compromiso Asturias XXI (2014-to date); and until last year he has been Member of the Board (2014-2019). Compromiso Asturias XXI is a civil initiative and a non-profit organisation that focuses its efforts in four pillars: the internationalisation of Asturian companies, the training and education of young people, the organization of seminars and cultural events and the development of working documents through its think tank.

Alberto has been a lecturer of the master of Corporate of ISDE business school.

He frequently speaks at industry and client conferences and provides recurrent trainings and sessions, both inside and outside the firm.

Education and qualifications

Alberto holds a LL.B from Universidad de Oviedo (Spain).

Thanks to his academic achievements, Alberto won a Séneca scholarship to study in Madrid (2009-2010) and an Erasmus scholarship to study at the University of Warsaw (2010-2011).
