Overview
Fionna is a managing associate based in the firm’s London office. She advises domestic and international corporates and financial institutions across a range of corporate areas, in particular public and private M&A transactions. She also has a broad range of experience including shareholder activism, joint ventures, corporate governance for listed companies and secondary equity offerings.
Fionna spent time in the firm’s Hong Kong office as well as on secondment to the M&A legal team at HSBC UK.
Work highlights
Fionna has advised on many high-profile corporate transactions. Particular highlights include advising:
- Rio Tinto on its US$6.7bn strategic acquisition of Arcadium Lithium (NYSE and ASX listed)
- National Grid on its £7bn rights issue (the largest UK rights issue since 2010)
- National Grid on the sale of a 60% interest in its gas transmission and metering businesses – with an enterprise value of approximately £9.6bn (being the largest UK carve out in 2022)
- Equiniti Group plc on the £673m recommended offer by Siris Capital Group, LLC (via Earth Private Holdings Ltd)
- the sponsors and underwriters on International Consolidated Airlines Group, S.A.’s €2.75bn rights issue
- Anglo American on its £405m recommended takeover of Sirius Minerals Plc
- Greene King on the £2.7bn recommended offer by CK Asset Holdings
- City Developments Limited on its £2.2bn recommended contractual offer for Millennium & Copthorne Hotels plc
- Gulf Marine Services on its successful defence against the hostile takeover by Seafox International and protection against shareholder activism
- AXA on its sale of AXA Life Europe to Cinven
Professional experience
Fionna trained in the firm’s Hong Kong office before relocating to London in 2015. She has also been on secondment to the M&A legal team at HSBC UK.
She has also advised on the following matters:
- UBM on the £3.9bn recommended cash and share takeover by Informa PLC
- Cerberus on its acquisition of £13bn shares and residential mortgage loans of Northern Rock Asset Management from UK Asset Resolution
Education and qualifications
Fionna holds a Bachelor of Business Administration, a Bachelor of Laws and a Postgraduate Certificate in Laws from the University of Hong Kong. She also spent one year of her undergraduate studies on exchange at University College London.
Fionna is dual qualified in England & Wales and Hong Kong.
