Overview
Pornpan (White) mainly advises underwriters and issuers on equity capital markets transactions, including IPOs, private placements, secondary offerings, convertible issues and delistings, and has in-depth knowledge of securities, stock exchange and banking-related regulatory requirements. She also acts for domestic and international corporates on M&As (including share and business acquisitions), corporate restructuring, joint ventures and legal due diligence.
Work Highlights
Pornpan has led on, or played a significant role, in many of the market’s most significant deals. Highlights include advising:
- Morgan Stanley Asia on the THB15bn IPO and listing on the Stock Exchange of Thailand of Star Petroleum Refining
- C.P. Foods Holdings Limited and Charoen Pokphand Food Public Company Limited on their USD 300m issue of 0.50% Exchangeable Bonds due 2021
- C.P. Foods Holdings Limited on its US$290.4m exchangeable bonds, the first exchangeable bond in Thailand since the Asian Financial Crisis and the first exchangeable bond in Asia to structure a stock borrowing facility utilising the stock underlying the bond
- Morgan Stanley, UBS and Phatra on the Thai and international IPOs of the BTS Rail Mass Transit Growth Infrastructure Fund, the first infrastructure fund in Thailand and one of Thailand’s largest IPOs
- Credit Suisse (Singapore) on the THB58bn IPO of True Telecommunications Growth Infrastructure Fund and separately on the fund’s asset acquisition
- True Corporation on its US$2bn private placement share offering to China Mobile International Holdings
- Big C Supercenter and Casino, Guichard-Perrachon on the €868m bid for Carrefour's Thai assets consisting of 42 stores across Thailand, and on the subsequent financing
Professional experience
Pornpan is a visiting lecturer at Thammasat and Chulalongkorn Universities.
She regularly participates in, and speaks at, seminars organised by the Association of Thai Securities Companies (Thailand) (ASCO).
Education and qualifications
Pornpan studied law at Thammasat University, Bangkok. She obtained a Master of Comparative Law at Indiana University School of Law, Bloomington, and holds a Master of Laws from the University of Pennsylvania Law School, Philadelphia, U.S.
She speaks Thai and English fluently.
