Overview
Stella is a Managing Associate in the Hong Kong Litigation, Arbitration and Investigations practice. She has broad knowledge and experience in cross border commercial litigation, banking litigation, contentious regulatory investigations and corporate internal investigations.
Stella advises Chinese and international clients, ranging from financial institutions, asset managers, listed corporations, and state-owned enterprises. Stella routinely works on cross border matters working with lawyers of different jurisdictions.
Stella is a native speaker of both Mandarin and Cantonese, and is fluent in English.
Work highlights
Litigation
- Represented a Chinese SOE in a high-profile shareholder dispute concerning the control over a Hong Kong listed company, including the conduct of High Court and Court of Appeal proceedings in Hong Kong involving complex issues of conflict of laws, advising on litigation strategies across Hong Kong and Mainland China, and associated listing compliance and corporate law issues.
- Represented a multinational bank in a fraudulent account takeover case involving HK$122 million, including defending claims for breach of mandate and negligence brought by the accountholder, conducting investigations and pursuing asset freezing and recovery against a significant number of recipients of misappropriated funds.
- Represented a multinational corporation in defending proceedings in the Hong Kong Market Misconduct Tribunal, for claims of breach of disclosure obligations under the Securities and Futures Ordinance and reliance on safe harbour defences arising from a privatisation transaction involving a former HKEx listed company.
Investigations
- Advised an investment bank in various investigations by the securities and prudential regulators of the United States, Hong Kong, Mainland China and Switzerland, concerning its role as underwriter in the US IPO of various Chinese companies subject to allegations of accounting fraud and false and misleading disclosures.
- Advised a Hong Kong listed company and its directors in the investigations commenced by the SFC and HKEx in relation to various accounting issues involving the company and its listed subsidiary group, and related issues of internal control..
- Advised an investment bank in an investigation arising from allegation of information leakage and market misconduct.
- Advised an investment bank in an SFC investigation concerning sponsor obligation in relation to placement of shares in the HK IPO of a Chinese healthcare technology company.
- Advised an investment management firm in an internal control review on a broad spectrum of issues as part of an SFC investigation.
- Assisted a global investment bank in the discovery actions commenced by certain minority shareholders of the largest internet operators in China, formerly listed in the US, in relation to the privatization of the company, in which the bank acted as financial advisor to the special committee of the board.
