Overview
Stefan advises global banks, financial institutions, CCPs and corporates on international capital markets law in relation to (structured) capital markets products and structured finance with a focus on cleared and non-cleared derivatives (FX, IRS, credit and equity derivatives) as well as repo and securities lending transactions. He also advises on issues related to the CRR, in particular with regards to credit risk mitigation under the CRR. A particular focus of his advisory services is on synthetic securitisations.
Furthermore, Stefan’s work focuses on the infrastructure of securities settlement, including digital securities, crypto securities and DLT-based issuance and settlement.
Stefan also has experience in portfolio sales in the context of NPL transactions and financing transactions more generally.
Work highlights
- DekaBank: advising on the first crypto securities issuance via the Deka securities platform SWIAT as well as on issuance of the green registered bonds on the blockchain-based platform.
- Large German and EU banks: advising on netting agreements, financial guarantees, collateral arrangements and credit default swaps for the purposes of credit risk mitigation.
- Various international investment banks and German banks: advising on DLT-based book-keeping structures in the context of custody arrangements.
- HSBC: advising on the due diligence in the context of an intra-group restructuring between HSBC Trinkaus & Burkhardt AG and HSBC Continental Europe.
- Various banks: advising on synthetic securitisations through the issuance of credit-linked notes and the granting of guarantees.
- Eurex Clearing AG: advising in respect of the participation in an European Central Bank pilot project for digital payment processing in connection with transactions regarding DLT securities.
