Overview

Justin is an associate in the Capital Markets group of Linklaters’ New York office. Justin has experience representing public and private issuers and financial institutions in connection with registered and unregistered debt and equity offerings, including high-yield and investment-grade debt offerings, liability management transactions, equity follow-ons and rights offerings. Justin has advised issuers, sponsors and arrangers on a variety of securitization and structured finance transactions and has also represented SPACs, SPAC sponsors and target companies in de-SPAC transactions.

Work Highlights

    • National Grid plc: advising on SEC registered debt issuances under its shelf registration statement and its subsidiaries on various debt offerings.
    • Moolec Science Limited: advising on its US$325m business combination with LightJump Acquisition Corp., a Delaware-based SPAC, and related listing of new holding company Moolec Science SA on the Nasdaq.
    • The dealer managers: advising on Azure Power Global Limited’s issuance of non-transferable subscription rights.
    • Union Acquisition Corp. II: advising the Cayman Islands-based SPAC on the US$1.1bn business combination with Crynssen Pharma Group Ltd and related listing of new holding company Procaps Group S.A. on the Nasdaq.
    • The underwriters: advising on various Banco Santander S.A. SEC registered debt issuances.
    • PetroRio S.A: advising on its follow-on primary public offering with restricted selling efforts of 29,700,000 new common shares and on its issuance of US$600m 6.125% senior secured notes due 2026.
