Overview

Tom is a managing associate in our Corporate practice and advises corporate and sponsor clients on a broad range of corporate M&A, equity capital markets and listing rules transactions. 

He spent six months in the firm’s Hong Kong office in 2019-2020, where he advised on global corporate and investment funds transactions. Tom also spent time on secondment at Anglo American in their Legal M&A team in 2022.

Work highlights

Tom’s recent experience includes advising:

  • CK Hutchison on the proposed merger of Three UK and Vodafone UK, combining their respective telecommunications operations in the UK.
  • Anglo American on:
  • the demerger of its South African thermal coal operations and listing of Thungela Resources;
  • the disposal via an accelerated bookbuild of its remaining interest in Thungela Resources; and
  • its $2 billion special dividend and share buyback programme in 2021.
  • BP on its US$5bn sale of its global aromatics and acetyls petrochemicals business to INEOS.
  • Vistry Group PLC on its recommended £1.25bn cash and share offer for Countryside Partnerships PLC.
  • Rothschild & Co (as sponsor) on the demerger and listing by Melrose Industries PLC of its GKN Automotive, Powder Metallurgy and Hydrogen business.
  • Underwriters on the IPOs of Oxford Nanopore Technologies and Funding Circle, and the proposed IPO of London Innovation Underwriters.
  • China Yangtze Power on its US$1.83 billion global offering of global depositary receipts on the Shanghai-London Stock Connect segment of the LSE.
  • Reliance Industries Limited on its acquisition of, and investment in, sodium-ion battery technology company Faradion Limited.
 

 

 

Education and qualifications

Tom holds a first-class undergraduate degree in History from Durham University. 

As part of his legal training, Tom also obtained an MSc in Law, Business and Management from the University of Law.
