Overview

Tom is a Managing Associate in the corporate practice in Linklaters’ Amsterdam office. He specialises in corporate law, M&A, private equity and restructuring.

Work Highlights

Recent deals include:

  • Infracapital Partners: advising on the sale of their c.74% stake in Eteck Energie Bedrijven B.V. to Partners Group through a controlled auction process.
  • Octopus Renewables: Advising on Octopus Renewables' acquisition of a 10% stake in the 732MW Dutch offshore wind farm Borssele III & IV from Partners Group, involving shares in OWFB11 B.V., OWFB12 B.V., and Blauwwind Management II B.V.
  • CJ Corporation: advising on the acquisition of shares in the capital of Batavia Biosciences B.V., a company engaged in the development and production of viral vectors, vaccines, proteins and antibodies.
  • First State Investments: advising on their acquisition of three liquid bulk terminal facilities located in the Netherlands, Germany and Spain from Royal Vopak.
  • ING Bank, KBC Bank, Rabobank, Belfius: advising on the sale of Payconiq International, an account-to-account payments technology provider, to the European Payments Initiative (EPI).
  • Visma/Hg Capital: advising on the acquisition of Dutch software provider for governmental institutions Roxit and the acquisition of Dutch cloud software provider EBPI.

Professional experience

Tom started his career at Linklaters in 2015, first as a Junior Associate as part of the dispute resolution and corporate teams and subsequently as an Associate and Managing Associate of the corporate team. Tom was seconded to ING Bank in 2021, were he also gained experience as an inhouse lawyer.

During his employment with Linklaters, Tom has acted as pro bono contact point for the Amsterdam office and has been a director of the Dutch Association for Young Litigators.

Tom is a member of the Linklaters Amsterdam Diversity and Inclusiveness Committee and a Committee Member of Stichting FORWARD (a Dutch foundation for LGBT lawyers).

He is a member of the NOVA (Dutch Bar).

Education and qualifications

Tom studied law at Leiden University and gained a master’s degree in both criminal law and corporate law (LL.M.).

Published works

Tom has written several publications on the subject of Dutch corporate law, both during his studies as well as during his employment with Linklaters including:

  • Unqualified directors in insolvency: a comparative study on the desirability of civil law directors' disqualification in the Netherlands (published in the June 2014 edition of International Insolvency Review by Wiley-Blackwell);
  • Directors' Disqualification in the Netherlands: An International Comparative Re-Evaluation of an Amended Disqualification Proposal (published in the October 2015 edition of the Dovenschmidt Quarterly by Eleven International Publishing);
  • a comparative (Dutch-German) study on corporate group liability (published in the March 2015 edition of the Dutch journal Strafblad by SDU); and
  • several other publications focussing on corporate and insolvency subjects in a variety of Dutch academic journals.
