Overview

Victor advises investment banks, trustees/agents, prime brokers and asset managers on complex structured finance and derivatives transactions in Asia, including Japan, as well as advising on Hong Kong financial regulatory issues.

His breadth of expertise includes:

  • credit, equity and fixed income derivatives (OTC and securitised)
  • cash and synthetic securitisations, including residential property, commercial property, consumer finance, trade receivables and airline tickets
  • structured repos and securities loans, including loans used as a means for liquidity swaps
  • structured credit transactions such as Collateralised Debt Obligations (CDOs), Collateralised Loan Obligations (CLOs), Credit Linked Notes (CLNs) and repackagings
  • central clearing of OTC derivatives

Victor also advises corporates, directors or shareholders on transactions executed through structured equity/corporate derivatives.

Victor was based in the firm’s Tokyo office between 2007 and 2011.

Work Highlights

Victor has led, or been a key adviser, on many market-leading structured finance transactions. These include advising:

  • The Hong Kong Stock Exchange (HKEx) on setting up the Hong Kong OTC derivatives clearing platform
  • Nomura International and Barclays Capital Securities on the acquisition by Geely of a 8.2% stake in Volvo Cars for €3.3bn, a complex transaction involving both a share sale agreement and the use of derivatives 
  • BNP Paribas on the securitisation of a loan to a project in Indonesia
  • Citi and Santander on the inaugural issuance of securities under the Trade MAPS programme, which allows participating banks to fund their trade businesses through the issue of term securities
  • an international investment bank on the pioneering repackaging of convertible bonds into loans and warrants for Sony
  • Credit Suisse and other banks as guarantors on a facility provided by the European Investment Bank to Jaguar Cars

Education and Qualifications

Victor studied law at Robinson College, University of Cambridge.

He speaks English and Cantonese.
