Overview
As a partner in the Luxembourg tax practice, Danièle assists investment managers in the set-up and tax structuring of joint venture companies and fund vehicles including on the downstream structuring across all asset classes. She also advises on the Luxembourg tax aspects of cross-border reorganisations and has significant expertise in the tax structuring of private equity transactions. Aside from her focus on funds and financial investors, Danièle advises on the various tax angles of local real estate transactions both by way of share deals and asset deals.
On the DE&I front, Danièle focuses on developing our female talent from an early stage in their careers, encouraging them to take part in our firmwide leadership programmes, acting as a mentor and making sure she is available when they need informal advice or coaching.
Danièle was admitted to the Luxembourg Bar in 2010 and is a member of the Luxembourg branch of the International Fiscal Association as well as actively involved in industry working groups of the Association of the Luxembourg Fund Industry (ALFI), in particular regarding DAC 6 and the ATAD initiatives. She also takes part in the Young Tax Leaders and PE4W committees of the Luxembourg Private Equity Association (LPEA).
Work highlights
- Partners Group: advising on the structuring of a new Luxembourg investment platform involving two parallel AIFs as well as the subsequent transfer of an existing investment portfolio to this new platform on a cashless basis; assisting their SICAR-like RAIF with performing risk assessments for new assets to be added to its investment pipeline.
- CA Indosuez Wealth (Europe) S.A.: advising on the €1.55bn acquisition of a majority stake in Degroof Petercam. The Luxembourg Tax team conducted due diligence on direct tax and VAT aspects and advised on the acquisition structuring as well as a preliminary/subsequent streamlining of the structure
- Deutsche Börse: advising on the reorganisation of its Luxembourg investment fund services business to create a stand-alone ecosystem supporting the entire service chain and lifecycle with respect to interests in funds
- a global investment manager: advising on the envisaged reshuffling of its Luxembourg substance through the implementation of global employment contracts and conducting a comprehensive critical assessment of its operating model from both regulatory and tax perspectives
- Deutsche Beteiligungs AG (DBAG): advising on the Luxembourg tax structuring on numerous acquisitions, including management incentive programmes, assisting with the funding and, further down the line, advising on a tax efficient repatriation of exit proceeds
- a private equity firm specialised in renewable energy investments: advising on their first debt product, a closed-ended high-yielding €600 million infrastructure debt fund focused on OECD countries. From a Luxembourg tax perspective, this notably involved addressing anti-hybrid dry income tax and beneficial ownership issues to build a robust structure.
- a leading multinational investment bank and financial services company and consulting firm: advising on the structuring and establishment of their first European Long Term Investment Fund. The ELTIF follows a multi-strategy approach through co-investments with existing investment vehicles of the bank, thus giving an opportunity to retail investors to participate in alternative investments
- Nuveen Real Estate: advising on the structuring of a joint venture with Eagle Street Partners, a real estate investment and asset manager, and the Health Employees Superannuation Trust Australia with respect to the acquisition of a site in Dublin to develop a build-to-rent scheme with a gross development value in excess of EUR 500m
- Montagu Private Equity S.A.S: advising on the acquisition of Lenkbar LLC, by Intech Inc, a Montagu portfolio company in relation to the optimal acquisition structure and assisting with drafting equity and debt instruments.
- Pontegadea Luxembourg SARL: advising on the €170m acquisition of an SPV holding a prime building in Luxembourg City, conducting due diligence on direct and indirect tax aspects (including VAT) and assisting in the SPA negotiations
- Macquarie European Infrastructure Fund 4 LP: advising on the sale of its stake in Open Grid Europe, Germany's largest gas network operator, to Fluxys
Education
Danièle holds a Bachelor of Law as well as Master I and II in International/English and North-American Business Law from University of Paris I Panthéon – Sorbonne (France), part of which she spent at McGill Faculty of Law (Canada). She also holds a LL.M. in International Financial Law from King’s College London, School of Law (UK).
