Overview

Nina advises clients on the U.S. federal income tax aspects of domestic and cross-border transactions, including debt and equity offerings, derivatives and other financial products, private equity investments, corporate mergers and acquisitions, and tax-free reorganizations.

Work highlights
  • Moolec Science Limited: advising on $376 million de-SPAC transaction, pursuant to which the Latin American science-based food ingredient company combined with LightJump Acquisition Corp., a publicly traded special purpose acquisition company, and the combined entity, Moolec Science SA began trading ordinary shares and warrants on Nasdaq.
  • Major Sovereign Wealth Funds and Sovereign Canadian Pension Plans: advising on U.S. tax issues (including issues relating to Section 892 and Section 897(l) of the U.S. Internal Revenue Code) with respect to substantial investor commitments to U.S. and European private equity and infrastructure funds and establishing managed accounts with U.S. and European investment managers.
  • Triton Partners: advising on the structuring of its investment funds and portfolio investment activity.
  • Asian Alternative Asset Manager: advising on the term loan facility to be provided for the development, construction, ownership, operation and maintenance of an electric power generation facility in the United States.
  • Daimler: advising on the listing of Daimler Truck, the world’s largest truck and bus maker, on the Frankfurt Stock Exchange following spin off from Daimler AG.
  • Glencore: advising on the sale of its wholly owned subsidiary, Chemoil Terminals LLC.
  • Glencore: advising on the sale of its interest in American Zinc Recycling Corp. and a portion of its interest in American Zinc Products LLC.
  • Assa Abloy: advising on the acquisition of Luxer One.

Professional experience

Earlier in her career, Nina worked as a tax accountant at a Big 4 accounting firm providing expatriate and international tax planning, compliance, and global mobility advisory services for clients in the banking and legal sectors. While attending law school, she also worked as an in-house tax and financial advisor at a law firm.

Education and qualifications

Nina holds a B.B.A. degree in Finance with a minor in Economics, summa cum laude, from Pace University and a Juris Doctor, magna cum laude, from Brooklyn Law School, where she was an Associate Managing Editor of the Brooklyn Journal of International Law
 
Nina is a certified public accountant in New Hampshire and an enrolled agent with the Internal Revenue Service.

Nina is fluent in Russian and Ukrainian.
