Overview

Philippa is a counsel in London who specialises in corporate reorganisations and capital restructurings. She has extensive experience advising corporates and financial institutions on a wide range of complex domestic and multi-jurisdiction mergers and acquisitions, joint ventures, distributions and reorganisations across a variety of sectors.

Philippa was seconded to the ECM legal team at JPMorgan in 2004 and to Vodafone in 2013. 

Work highlights

  • Tate & Lyle: advising on the US$1.7bn separation and sale of a controlling stake in its primary products business to KPS Capital Partners.
  • Sibanye-Stillwater: advising on the reorganisation following its £285m recommended takeover of Lonmin.
  • thyssenkrupp: advising on several transactions, including its reorganisation in relation to the EUR17.2bn sale of the thyssenkrupp elevator business to a consortium led by Advent and Cinven.
  • Bank of America, JP Morgan and other financial institutions: advising on complex intra-group restructurings, including in relation to Brexit-planning, streamlining the relevant group and releasing excess capital.
  • Advising on reorganisations in relation to IPOs, demergers and reverse takeovers, including for Old Mutual, Al Noor Hospitals, Atlantica Yield, ASA International Group, BGL and Brait.
  • Various global professional services firms: advising on cross-border intragroup restructurings.
  • Unilever, Experian, PSPIB, NTT, Keystone Foods and Chanel: advising on restructurings and cross border mergers.

Education and qualifications

Philippa holds a Bachelor of Commerce and a Bachelor of Laws from Rhodes University, South Africa. She also holds a Common Professional Examination (College of Law) and Legal Practice Certificate (Oxford Institute of Law).
