Linklaters advises Daimler on the spin-off and listing of the commercial vehicles division Daimler Truck
Linklaters provided comprehensive advice to the Management Board and the Supervisory Board of Daimler AG (Daimler) on the spin-off and listing of the commercial vehicles business with trucks and buses. The relevant resolutions on the spin-off were passed by Daimler shareholders at an extraordinary general meeting on 1 October 2021.
In the course of the spin-off, Daimler shareholders will additionally receive one share in the new Daimler Truck Holding AG for every two Daimler shares, in total 65% of the share capital. Daimler remains directly and indirectly involved in Daimler Truck Holding with the remaining 35%. The shares of Daimler Truck Holding will be traded on the Frankfurt Stock Exchange as of 10 December 2021.
Daimler itself will trade as Mercedes-Benz Group in the future. The new name underlines the future focus on passenger cars and vans of the brands Mercedes-Benz, Mercedes-AMG, Mercedes-Maybach and Mercedes-EQ.
