Overview

Michał is a commercial and tax lawyer with over 10 years of experience in tax advisory services with a particular focus on M&A (including international structuring of real estate transactions, tax due diligence projects and structured finance) and the real estate sector.

Over the recent years, Michał has been involved in cooperation with private equity funds, institutional investors as well as commercial developers and construction companies on complex and most valuable transactions in Poland and in the CEE region.

Prior to joining Linklaters, Michał spent several years at a Big 4 accounting firm and developed a unique skillset combining legal, tax and financial knowledge allowing an in-depth understanding of M&A transactions.

Work highlights

Michał has advised on the tax aspects of major transactions. Recent highlights include advising:

  • CVC Capital Partners: advising on tax due diligence and tax structuring aspects related to the acquisition of Żabka (deal value over EUR 1bn, one of the biggest transactions on the Polish market over the last years).
  • Mid Europa Partners: advising on tax due diligence and tax structuring aspects related to the acquisition of Hortex (one of the biggest transactions on the Polish market in 2018). 
  • Stena Real Estate: advising on the acquisition of Studio B office building in Warsaw from Skanska.
  • Leading Scandinavian office developer: advising in several transactions concerning the sale of real estate properties in Poland, including: (i) sale of a portfolio of three office buildings located in Wrocław and Kraków to real estate funds managed by Credit Suisse Asset Management Global Real Estate for EUR 214m and (ii) sale of the Generation Park, complex of three office buildings in Warsaw (total deal value over EUR 300m).
  • One of the largest Polish investment and developer companies: advising in several real estate transactions in Poland including: (i) acquisition of land in Warsaw, Poznań, Łódź and Kraków from the Tesco Group, (ii) sale of the Browary Warszawskie, (iii) sale of the My Place office complex and (iv) sale of the West 4 Business Hub I office building.
  • World's leading asset manager: advising in the disposal of the Green Corner A office building in Warsaw to CPI Property Group.

Professional experience

Michał’s other work highlights include:

  • Philippines-based, diversified developer: advising in the acquisition of a complex of office buildings in Katowice (Silesia Business Park).
  • a leading Polish corporation: advising on on-going issues in the field of corporate income tax and international taxation related to the business restructuring (covering tax implications of mergers and legal divisions).

    Prior to joining Linklaters, Michał worked at PwC (tax M&A department) and at Baker McKenzie.

Education and qualifications

Michał is a Polish qualified lawyer (adwokat).

He graduated from the Faculty of Law at the Jagiellonian University and successfully completed the Jagiellonian University (i) School of German Law (in cooperation with Heidelberg University and the University of Mainz) and (ii) School of Austrian Law (in cooperation with University of Vienna).

He speaks Polish, English and German.
