Overview
Jared Arcari represents sponsors and investors in a wide variety of private investment funds in asset classes including real estate, alternative investments, private credit, venture capital and private equity. Jared is experienced in both open-ended and close-ended funds and has assisted with various bespoke hybrid funds and other innovative fund structures.
Jared advises sponsors in connection with matters relating to the formation, operation and governance of private investment funds. He also regularly advises clients on investor relation matters, post-closing matters and portfolio maintenance. In addition, Jared’s practice includes representing institutional investors in connection with investments in private equity funds and secondary transactions.
Jared also advises clients on various fund-related matters include managed accounts, funds of one, co-investments, joint ventures, secondary transactions and complex fund structures.
Work Highlights
Fund Sponsor Representations
- Advised a major global bank’s private wealth and alternative investments group with the formation of conduit fund vehicles targeting in excess of $750 million in HNWI commitments and related investments in globally-recognized private equity funds.
- Assisted a sponsor’s launch of a $1.5 billion alternative real estate closed-end fund and advised on additional co-investment opportunities and investor relations matters.
- Represented a major investment bank with the formation of a $2.5 billion leveraged credit fund.
- Assisted a prominent family office with the conversion and creation of a family office management company and related investments in funds of funds.
- Advised a major U.S. real estate sponsor regarding the formation of a $1 billion+ co-investment fund vehicle and a separate $2 billion joint venture with a strategic partner.
- Assisted a major global private equity firm with the formation and structuring of single-asset investment vehicles and syndication of such investments with strategic co-investors.
- Represented numerous private equity sponsors regarding the formation of investment fund structures and strategies, including in specialized asset classes such as carbon credits, studios, music intellectual property rights and cold storage facilities.
Limited Partner Representations
- Represented a Fortune 500 company’s pension plan and trust regarding the formation of a fund of one managed account and related investments, including secondary transactions, in private equity funds.
- Advised a Fortune 100 company’s pension fund with respect to investments made in various close-end and open-ended private equity funds.
Other Representations
- Represented a major U.S. public company regarding the sale of flagship real estate assets in the Midwest valued in excess of $100 million and related structuring of joint venture partnerships.
- Assisted a major global private equity firm with the creation and structuring of employee incentive plans for employees advising the firm’s premier investment strategies.
- Advised a Fortune 500 company’s pension plan and trust regarding the formation of several funds of funds and related operational matters, secondary transactions and investor relations.

Jared contributes regularly to publications on various topics ranging from securities law updates (particularly in the private funds space) to cryptocurrency and blockchain developments.
Jared is also active in Fordham alumni matters and sits on several advisory councils focused on improving law students’ interest in legal topics such as tech and entrepreneurialism.
