Heiko Schiwek is a Partner in the Linklaters’ Mergers & Acquisitions group in New York and one of the Global Leaders of the Chemicals Sector.

Heiko has extensive and diverse M&A experience ranging from public company acquisitions to complex carve-out sales, strategic investments and joint venture transactions and represents many of the largest US and non-US corporate clients.

  • Dow Chemical in numerous transactions, including in its US$130bn transaction with DuPont involving the combination of the two companies, the subsequent separation into three public companies and the resulting US$50bn spin-off of Dow Inc.; the US$5bn Reverse Morris Trust transaction with Olin involving Dow’s chlor-alkali and derivatives business; the negotiations of the US$17.4bn K-Dow joint venture with PIC of Kuwait; the US$4.8bn strategic ownership restructuring of Dow Corning; the US$1.5bn sale of its MEGlobal joint venture interest to EQUATE; the US$1.63bn sale of Styron to Bain Capital; the sale of Dow’s global polypropylene business to Braskem; the divestiture of its global polypropylene licensing & catalysts business to W. R. Grace & Co; the sale of its interest in Nippon Unicar Company to the Tonen Group; the sale of its acid copolymers and ionomers business to SK Global Chemical Co.; the sale of Dow’s extruded polystyrene foam (XPS) business; the sale of Dow’s German S/A Latex business and the separation of Dow’s joint venture with Toray Industries, Inc.

  • LyondellBasell in its US$2.25bn acquisition of A. Schulman and other transactions.
  • LANXESS in numerous transactions, including in its acquisition of the clean and disinfect business of Chemours; its acquisition of the US phosphorus additives business of Solvay; its acquisition of Emerald Kalama Chemical from American Securities; and its acquisition of the microbial control business of IFF.
  • Dover Corporation in numerous transactions, including in its acquisition of FW Murphy Production Controls; and its acquisition of Espy Corporation.
  • KMG Chemicals in its US$1.6bn sale to Cabot Microelectronics Corporation.
  • SPX Technologies in its divestiture of subsidiaries holding asbestos liabilities and related assets to a joint venture of Global Risk Capital and Premia Holdings and its related Section 251(g) reorganization.

Education and qualifications

Heiko holds an LL.M. from Pennsylvania State University, The Dickinson School of Law. He also obtained a Dr. iur from the University of Dresden.
