Paveen Khiewvichit

Paveen is a Counsel in the Bangkok office with extensive experience in capital markets, corporate finance, public M&A and the exchange and securities related regulations. As one of the leading members in the capital markets practice and the corporate practice at Linklaters’ Bangkok office, he is capable of leading both equity and debt capital markets transactions with combined elements of domestic and international offerings as well as public M&A.

Work highlights

Paveen’s experience has included advising:

• True Corporation Public Company Limited (True) on its amalgamation with Total Access Communication Public Company Limited (dtac) to create a new telecom-tech company (which maintains its name as True) whose shares are listed on the SET with the total asset value of approximately US$22.6bn. This is the largest telco merger in Southeast Asia.
• Charoen Pokphand Group on its US$10.6bn acquisition of Tesco’s businesses in Thailand and Malaysia. This is the largest corporate acquisition in Thailand’s history.
• CP Axtra on its proposed group restructuring which is undertaken by way of (i) the entire business transfer where CPAXTRA will accept the entire business transfer of Lotus’s Store (Thailand) Co., Ltd. and as a result CP Axtra will hold 100% shares of Ek-Chai Distribution System Co., Ltd (“Ek-Chai”) and (ii) the amalgamation between CP Axtra and Ek-Chai to create a new company with the synergy of the wholesale and retail business in Thailand with the total asset value of approximately US$15bn.
• Ngern Tid Lor Public Company Limited on its IPO (involving a domestic and international offering) and listing of shares on the Stock Exchange of Thailand (SET) – the largest IPO ever in the finance and securities sector and consumer finance sector in Thailand.
• Siam Makro Public Company Limited on the entire business transfer of C.P. Retail Holding Company Limited (i.e. the entire share capital of Lotus’s) to Makro, followed by Makro’s subsequent public offering.
• Osotspa Public Company Limited on its IPO (involving a domestic and international offering) and listing of shares on the SET – the largest IPO in Thailand in 2018.
• the underwriters in the IPO (involving a domestic and international offering) of Star Petroleum Refining Public Company Limited by SPRC and PTT Public Company Limited, respectively – the largest Thai equity IPO 2015.

Paveen studied law at Chulalongkorn University and gained a master’s in law from the London School of Economics.
