Linklaters advises NEPI Rockcastle on one of the largest shopping centre transactions in Europe in 2022
Linklaters has advised NEPI Rockcastle, Central and Eastern Europe’s largest listed owner, developer and manager of shopping centres by portfolio market value, on the acquisition of Forum Gdańsk Shopping Centre, for EUR 250 million. The seller was Multi Veste 339 B.V., an entity ultimately owned by Blackstone-managed funds.
Located in Gdańsk, in the north of Poland, the shopping centre offers 63,500 sqm of gross leasable area, and has an occupancy rate of 93%, with anchor tenants including Eurospar, Helios, H&M, Reserved, TK Maxx, Van Graaf and Zara. The property has a BREEAM In-use Excellent certification.
The acquisition, by value, represents one of the largest single asset shopping centre transactions in Europe, and the largest in the Central and Eastern Europe in 2022. This is another deal on which we have advised NEPI Rockcastle, following the acquisition of Copernicus Shopping Centre in Toruń, announced in November 2022.
The transaction was led by Tomasz Trystuła (managing associate) and supervised by Janusz Dzianachowski (partner). The real estate team included Samanta Wenda-Uszyńska (senior associate), Katarzyna Grodzka (associate), Mateusz Korecki (associate), Michal Kostewicz (associate) and Joanna Roman (junior associate). Małgorzata Szwaj (partner), Wojciech Podlasin (managing associate) and Joanna Koterbska (senior associate) advised on the competition law aspects. The wider advisory team included Szymon Sieniewicz (head of TMT/IP practice), Tomasz Manicki (of counsel), Adrian Horne (counsel), Klaudia Śliwka (managing associate), Daria Wojciechowska (associate) and Jacek Widenka (junior associate) from Linklaters’ Warsaw office, and Tom Reker (managing associate) from the Amsterdam office.
